PROJECT DETAILS/CUSTOMER OBLIGATIONS
A. All items to be included on the page* / in the album are to be mounted in an archival-quality manner using only photo-safe products
labeled by reputable companies as “archival-quality, “photo-safe”, “acid-free”, and/or “lignin free”. The CUSTOMER agrees not to hold
REMEMBRANCES liable for any damage resulting from defective products used in creation of the PROJECT.
B. All items provided to REMEMBRANCES for use in the PROJECT must be organized and grouped together by theme, event, or place for
accurate placement on the scrapbook pages*. The CUSTOMER understands that each item will be coded in an inconspicuous place with an
archival-quality pencil for inventory purposes. Each group of items will be coded separately and specified as such on the PROJECT sheet. The
CUSTOMER assumes full responsibility and will not hold REMEMBRANCES liable if photos/memorabilia are misplaced in the layout and design of
the PROJECT due to misgrouping of the items.
C. REMEMBRANCES is only responsible for the photos and memorabilia listed on the attached PROJECT sheet. In the event the photos
and/or memorabilia provided are damaged by fire, flood, earthquake, hurricane, tornado or other unavoidable disaster (including, but not limited
to, theft or auto accident) while in the possession of REMEMBRANCES, it agrees to pay for the cost of reprinting photos and/or replacing
memorabilia. Insuring that photos and memorabilia can be replaced is the CUSTOMER’s responsibility. If the photos and memorabilia are not
replacable the CUSTOMER assumes full responsibility and will not hold REMEMBRANCES liable. For non-replaceable photos or memorabilia,
the CUSTOMER has the option of:
i. Providing original photos and memorabilia to be utilized in the PROJECT; or
ii. For an additional charge, REMEMBRANCES will scan or copy the original photos and/or memorabilia as specified on the PROJECT sheet.
Charges for such services are outlined in this Agreement.
D. All items in the PROJECT will be mounted using adhesives that are essentially considered permanent. While it may be possible to
remove items, it is not highly recommended, as damage to the photos, scrapbook page* and/or album will likely occur. The CUSTOMER agrees
to not hold REMEMBRANCES liable for any damage that may occur as a result of attempting to remove items from the scrapbook after the
PROJECT is delivered to the CUSTOMER. The CUSTOMER is to inform REMEMBRANCES, by specifying on the PROJECT sheet, of any photos
and/or memorabilia that is to be non-permanently mounted. Those items will be placed in the PROJECT with an archival-type non-permanent
mounting medium, allowing for easy and safe removal at a later date.
E. Unless otherwise specified on the PROJECT sheet, the CUSTOMER gives REMEMBRANCES full permission to “crop” (i.e. cut) or alter the
photos and/or memorabilia as REMEMBRANCES sees fit, in a tasteful manner, during the creative process.
F. REMEMBRANCES will make every effort to utilize all photos and memorabilia specified on the PROJECT sheet. However, during the
creative process some items may not be used due to space limitation of the album, page* layout or design. If this occurs REMEMBRANCES will
contact the CUSTOMER and if additional scrapbook pages* are requested by the CUSTOMER to utilize remaining photos and/or memorabilia, an
additional PROJECT sheet will be added as an addendum to this Agreement. Any items not utilized will be returned to the CUSTOMER with the
completed PROJECT.
PAYMENT TERMS
A. REMEMBRANCES requires a deposit of fifty percent (50%) of the estimated total cost of the PROJECT, as outlined on the PROJECT
sheet, at the time the PROJECT sheet is signed. REMEMBRANCES will make every effort to quote the estimate to the actual cost of the
PROJECT. The actual number of pages* for a completed PROJECT cannot be determined beforehand, unless a specific number of completed
pages* are specified by the CUSTOMER on the PROJECT sheet. Because of these factors, the CUSTOMER understands that the actual cost of
the PROJECT will most likely differ from the estimate.
B. Once this Agreement is signed all rates, if applicable, are locked in as follows until the completion of the PROJECT:
$10 per page* for 8½ x 11
$15 per page* for 12 x 12
Scanning / Copying: $.65 / sheet (on standard white acid-free 8.5x11 paper)
Laminating: $.15/inch in length (up to 8.5” width only)
Actual retail cost of album, refill pages and page protectors
Current applicable sales tax
C. REMEMBRANCES will make every effort to complete the PROJECT by the estimated completion date listed on the PROJECT sheet.
However, if any delay takes place that is beyond the control of REMEMBRANCES, the CUSTOMER will not hold it liable for the additional time to
complete the PROJECT. Any PROJECT that has more than 30 pages* or needs photos and/or memorabilia copied are subject to a longer
completion date.
D. Once the PROJECT is complete the CUSTOMER will be notified of the remaining balance owed for the work completed. The remaining
balance will constitute the following costs as outlined in this Agreement:
i. Cost of PROJECT minus deposit;
ii. Shipping and insurance costs, if applicable;
iii. Cost of the album, refill pages and page protectors, if applicable; and
iv. Cost of scanning / copying original photos and/or memorabilia, if applicable.
E. REMEMBRANCES reserves the right to hold the completed PROJECT until the remaining balance is paid in full.
F. The CUSTOMER may cancel a PROJECT order at any time, but will be responsible for payment of all completed work plus cost of album,
refill pages and page protectors, as outlined in this Agreement.
G. Current applicable sales tax will be added to the actual total upon completion of the PROJECT.
CUSTOMER PERMISSION
A. In some instances, REMEMBRANCES may make copies or photograph and use all or portions of the PROJECT for promotional purposes.
Please review and initial one of the following:
i. ______I authorize REMEMBRANCES to make copies of or photograph any customized PROJECT created for me by REMEMBRANCES. I
understand that these copies or photographs may be used by REMEMBRANCES only for purposes of advertising. (All identities (except for first
names) will be obscured and the PROJECT will only be used showing the CUSTOMER and REMEMBRANCES to their best advantage.)
ii. ______I do not authorize REMEMBRANCES to make copies of or photograph any customized PROJECT created for me by
REMEMBRANCES.
MISCELLANEOUS TERMS
A. If the delivery method of the completed PROJECT is shipping, as specified on the PROJECT sheet, REMEMBRANCES will ship the
PROJECT through a reputable mailing service that offers tracking capabilities and insurance. It is highly recommended that insurance be added
to the shipping and REMEMBRANCES will do so at the request of the CUSTOMER as stated on the PROJECT sheet. All shipping and insurance
costs will be the responsibility of the CUSTOMER and will be included in the balance of the PROJECT. The CUSTOMER will not hold
REMEMBRANCES liable for any damages incurred during shipping whether or not insurance is purchased by the CUSTOMER.
B. Acceptance of the completed PROJECT will be construed as satisfaction of all work completed on the PROJECT. REMEMBRANCES will
make every effort to offer complete satisfaction to the CUSTOMER for its customized PROJECT. If the CUSTOMER is not satisfied, the
CUSTOMER has within 7 days of receipt to return the PROJECT. REMEMBRANCES will completely redo a maximum of two pages* at no charge
and will make changes on a maximum of 4 existing pages* at no charge. Any additional work requested by the CUSTOMER, other than stated
above, will be charged at the same rates as stated in this Agreement.
C. The PROJECT sheet, attached as Exhibit A, shall be a part of this Agreement.
D. All returned checks are subject to a $25 fee.
E. Pornographic, obscene or otherwise inappropriate photos and materials (as determined by REMEMBRANCES) are strictly prohibited for
completion of the PROJECT. REMEMBRANCES reserves the right to refuse any PROJECT for any reason.
F. This Agreement shall be binding upon and inure to the benefit of the successors and assigns of the parties.
G. The various headings used in this Agreement as headings for sections or otherwise are for convenience only and shall not be used in
interpreting the text of the section in which they appear.
H. This Agreement shall be construed and interpreted in accordance with the laws of Illinois. Any suit or proceeding arising out of or relating
to this Agreement shall be commenced only in the state courts located in Kendall County, Illinois and each party to this Agreement hereby
consents to the exclusive jurisdiction and venue of such courts.
I. The invalidity of any provision of this Agreement shall not impair the validity of any other provision. If any provision of this Agreement is
determined by court of competent jurisdiction to be unenforceable, that provision will be deemed severable and the Agreement may be enforced
with the provision severed or as modified by the court.
J. This Agreement sets forth the entire understanding of the parties. It may only be amended, modified or terminated by instrument signed
by the parties.
K. If after the completion of the PROJECT there are any outstanding payment(s), CUSTOMER agrees to be responsible for any and all
reasonable collection costs, including reasonable attorneys’ fees, in addition to the amount of the outstanding payment(s).
L. The respective rights and obligations of the parties hereto shall not be assignable without the prior written consent of the other party.
